Fed seeks comment on Versa Bancorp BHC formation and related acquisitions

Comments on the Versa Bancorp applications must be filed by Sept. 25, 2026

The Board of Governors of the Federal Reserve System has published a notice inviting public comment on applications to form, acquire, or merge bank holding companies. The notice, published in the Federal Register on Aug. 26, 2026 (FR Doc 2026-17412, pp. 55096-55097), lists Versa Bancorp's request to become a bank holding company and related share acquisitions. Comments must be received by Sept. 25, 2026 at the Federal Reserve Bank of Minneapolis or the Board's Washington office.

Versa Bancorp, Minneapolis, Minnesota, seeks BHC status by acquiring VersaHoldings US Corp., London, Ontario, Canada, thereby indirectly acquiring VersaBank USA, Holdingford, Minnesota. The application also includes the acquisition of VersaFinance US Corp., London, Ontario, to engage in extending credit, servicing loans, and data processing under sections 225.28(b)(1) and 225.28(b)(14) of Regulation Y.

In a related transaction, GBH Inc., Breslau, Ontario, Canada, proposes to acquire 24.34 percent of the voting shares of Versa Bancorp, which would indirectly retain voting shares of VersaHoldings and VersaBank USA.

The public portions of these applications and any required filings are available for immediate inspection at the Federal Reserve Bank of Minneapolis and the Board's offices. Interested parties may also obtain the materials on an expedited basis by contacting the appropriate Reserve Bank or the Board's Freedom of Information Office.

Comments are subject to public disclosure and will be released without alteration, except for removal of personal or business identifiers. Submissions should not contain confidential information that would be inappropriate for public release.
