SEC seeks comment on extending Rule 173 information collection

Investors who bought securities in registered offerings must comment by Nov. 9, 2026 on the proposed extension of the Rule 173 reporting requirement.

The Securities and Exchange Commission announced that it will submit the existing Rule 173 information collection (OMB Control No. 3235-0618) to the Office of Management and Budget for extension and approval. Rule 173, codified at 17 CFR 230.173, provides a notice of registration to investors who purchased securities in a registered offering under the Securities Act of 1933.

The Commission estimates that approximately 5,720 respondents will file about 43,546 responses each year, totaling 249,083,120 responses annually. The agency calculates a burden of 0.0167 hours per response, resulting in an estimated total annual reporting burden of 4,159,688 hours and a cost burden of $0.

Written comments are invited on the necessity, utility, accuracy of the burden estimate, and ways to improve or reduce the burden, including the use of automated collection techniques. Comments must be submitted to Austin Gerig, Director/Chief Data Officer, SEC, c/o Tanya Ruttenberg via the provided email address by November 9, 2026.
