Federal Reserve publishes Change in Bank Control applications for Darwin Bancshares
The Johnson family's acquisition of voting shares in Darwin Bancshares and Perennial Bank is open for public comment through Oct. 15, 2026.

The Federal Reserve System has issued a notice of applications filed under the Change in Bank Control Act (12 U.S.C. 1817(j)) and Regulation Y (12 CFR 225.41) to acquire voting shares of a bank or bank holding company. The public comment period closes on October 15, 2026, and comments must be submitted to the Federal Reserve Bank of Minneapolis or the Board of Governors, 20th Street and Constitution Avenue NW, Washington, DC 20551-0001.
Michael Johnson of Litchfield, Minnesota, has applied to acquire voting shares of Darwin Bancshares, Inc., thereby indirectly acquiring voting shares of Perennial Bank, both located in Darwin, Minnesota. In addition, Jeb Johnson, New London, Minnesota; Max Johnson, Bryce Johnson, and Josh Johnson, all of Darwin, Minnesota; Zachary Johnson, Grove City, Minnesota; Chad Johnson, Monticello, Minnesota; Rachael Larson, St. Cloud, Minnesota; and Krysta Roemeling, Avon, Minnesota, seek to join the Johnson Family Control Group to retain voting shares of the company and, by extension, the bank.
