SEC Extends Review Deadline for NYSE Internal Audit Rule Change

The SEC's extension to November 16, 2026 gives the Commission more time to act on NYSE's proposal to lengthen the transition period for listed companies to establish internal audit functions.

On July 31, 2026, New York Stock Exchange LLC filed a proposed rule change with the Securities and Exchange Commission pursuant to Section 19(b)(1) of the Securities Exchange Act of 1934 and Rule 19b-4 to amend Sections 303A.00 and 303A.07 of the NYSE Listed Company Manual. The amendment would extend the transition period in which a listed company must establish an internal audit function. The proposal was published for comment in the Federal Register on August 18, 2026.

Section 19(b)(2) of the Act provides that the Commission must act within 45 days of the publication of notice of the filing, a deadline that would have fallen on October 2, 2026. The Commission has determined that a longer period is appropriate.

Pursuant to its authority under Section 19(b)(2), the Commission designates November 16, 2026 as the date by which it shall either approve, disapprove, or institute proceedings to determine whether to disapprove the proposed rule change (File No. SR-NYSE-2026-37).

The extension is intended to give the Commission sufficient time to consider the proposed rule change and the issues raised therein. The notice is filed under Release No. 34-106502; FR Doc No. 2026-19953; Billing Code 8011-01-P.
