Pursuant to Section 19(b)(1) of the Securities Exchange Act of 1934 and Rule 19b-4, Nasdaq Texas, LLC filed a proposed rule change on October 22, 2026 to amend Equity 4, Rule 4120. The filing, identified as Release No. 34-106764; File No. SR-NasdaqTX-2026-050, was published in the Federal Register on October 29, 2026 (FR Doc No. 2026-22376) and is effective immediately.

The Exchange proposes to replace in its entirety its current version of Equity 4, Rule 4120 with the version currently found in the Nasdaq rulebook. The new rule would retain the structure of sections on definitions, regulatory halts and operational halts, aligning the halt framework with the Nasdaq-approved rule.

The filing explains that a September 2026 update mistakenly copied an obsolete Nasdaq version of Rule 4120. The amendment corrects that error, removes references to the CORE FIX order entry protocol, and modifies language to reflect Nasdaq Texas's operating hours and trading sessions rather than Nasdaq's upcoming 23-hour schedule.

The Exchange cites Section 6(b) and Section 6(b)(5) of the Act as the statutory basis, asserting that the change promotes clarity, consistency and a free, open market without imposing an undue burden on competition.

The text of the proposed rule change is available on the Exchange's website and at its principal office. The Commission is soliciting comments from interested persons on the proposal.
