Rainbolt Family Applies to Acquire Voting Shares in BancFirst and Affiliates

The Rainbolt Family Control Group's application to acquire voting shares of BancFirst Corp., Pegasus Bank and Worthington Bank is open for public comment through Oct. 26, 2026.

The Federal Reserve Board announced that the Rainbolt Family Control Group - comprising the GST Trust, the David and Kim Rainbolt Foundation, and the named Rainbolt family members - has applied under the Change in Bank Control Act (12 U.S.C. 1817(j)) and Regulation Y (12 CFR 225.41) to acquire voting shares of BancFirst Corporation, Oklahoma City, Oklahoma, and, by extension, voting shares of Pegasus Bank, Dallas, Texas, and Worthington Bank, Arlington, Texas.

The public portions of the applications and any related filings required by the Board are available for immediate inspection at the Federal Reserve Bank of Kansas City, 1 Memorial Drive, Kansas City, Missouri 64198-0001, and at the Board of Governors' offices. Interested parties may also obtain the materials on an expedited basis by contacting the appropriate Reserve Bank or the Board's Freedom of Information Office at https://www.federalreserve.gov/foia/request.htm.

Comments on the application must be submitted to the Federal Reserve Bank of Kansas City or to the Board of Governors, Benjamin W. McDonough, Secretary of the Board, 20th Street and Constitution Avenue NW, Washington, DC 20551-0001, no later than October 26, 2026. Comments may be sent electronically to the protected email address listed in the notice. All comments are subject to public disclosure and will be released without alteration, except for the removal of personal or business identifiers that are not appropriate for public release; confidential information should not be included.

The notice notes that David E. Rainbolt has previously been permitted by the Federal Reserve System to acquire voting shares of BancFirst Corporation and is a member of the Rainbolt Family Control Group. The other family members listed - Dana Kim Rainbolt, Adam Duston Rainbolt, Samuel Johnson Rainbolt, and Jacob Patrick Rainbolt - have also been previously permitted to be members of the group.
