SEC extends OMB approval for Form N-54A business development company filings
The extension applies to mandatory Form N-54A notifications filed by business development companies, with comments due by Nov. 30, 2026.

The Securities and Exchange Commission has submitted a request to the Office of Management and Budget to extend the OMB Control No. 3235-0237 approval for Form N-54A. The notice, published in the Federal Register Vol. 91 No. 207 on October 28, 2026, invites public comment through November 30, 2026.
Form N-54A serves as the notification of election for investment companies that elect to be regulated as business development companies under the Investment Company Act of 1940. Filing the form triggers the application of Sections 55 through 65 of the Act, enabling the Commission to administer those provisions.
The Commission estimates an average of 25 business development companies file Form N-54A each year. Each filing requires about 0.5 hours of effort at a wage rate of $470.5 per hour, producing a total annual time burden of 12.5 hours and an estimated industry cost of $5,881.25.
The collection is mandatory, incurs no additional costs beyond the identified burden, and the information submitted is not kept confidential. Comments may be submitted online at https://www.reginfo.gov/public/do/PRAViewICR?ref_nbr=202608-3235-012 or by email to the address provided in the notice.
