On August 13, 2026 NYSE Texas, Inc. filed a proposed rule change under Section 19(b)(1) of the Exchange Act, seeking to adopt Rule 24 under Article 22 of its Rule Book. The filing, identified as Release No. 34-106725; File No. SR-NYSETEX-2026-30, was published for comment on September 1, 2026. An amendment filed on October 5, 2026 superseded the original proposal, and the Commission received no comment letters. This notice, FR Doc No. 2026-21925, publishes an order granting accelerated approval of the amendment.

The amendment codifies that all issuers listed on NYSE Texas are entitled to complimentary use of the Exchange's Dallas headquarters. It also defines an "Eligible Dual Listing" as any U.S. or non-U.S. company with a primary equity class listed elsewhere and at least 160 million total shares of common stock issued and outstanding. Eligible Dual Listings receive a one-time package of visibility and investor-engagement products and services valued at approximately $50,000, including a hosted investor meeting and a marketing activation.

The Commission concluded that the rule change complies with Sections 6(b)(4), 6(b)(5) and 6(b)(8) of the Act, noting that the services are equitably allocated and do not impose an unfair burden on competition. The order states that the complimentary offerings do not affect the Exchange's ability to fund its regulatory responsibilities.

The Commission also recognized that the amendment reflects competitive pressures in the national exchange market, noting NYSE Texas's recent reincorporation in Texas and its intent to attract issuers seeking a presence in the state. The order is effective upon issuance on October 23, 2026.
