The Securities and Exchange Commission has submitted to the Office of Management and Budget a request to extend the previously approved collection of information under Rule 433, 17 CFR 230.433.

Rule 433 governs the use and filing of free-writing prospectuses for securities covered by a registration statement filed under the Securities Act of 1933. A prospectus that meets Rule 433 requirements is treated as a prospectus under Section 10(b) of the Securities Act and is deemed public regardless of its distribution method. Filings are mandatory and are posted on the Commission's EDGAR system.

The Commission estimates approximately 20,179 free-writing prospectus filings annually, generating the same number of responses. Each response is expected to require 2.45 burden hours, for a total annual reporting burden of 49,439 hours. The estimated cost per response is $380.03, resulting in an annual cost burden of $7,668,625.

The public may view the collection request at https://www.reginfo.gov/public/do/PRAViewICR?ref_nbr=202607-3235-025 or submit comments by email to the address provided. Comments must be received within 30 days of the day after publication, no later than November 30 2026.

The notice is dated October 26 2026 and is signed by Assistant Secretary Sherry R. Haywood.
