SEC Requests Comments on Extending Rule 192 Information Collection

The SEC invites comments through Nov. 16, 2026 on extending its Rule 192 data-collection burden for asset-backed security participants.

The Securities and Exchange Commission issued a 60-day notice, under the Paperwork Reduction Act of 1995, to submit the existing Rule 192 information collection to the Office of Management and Budget for extension and approval. The collection bears OMB Control No. 3235-0807.

Rule 192 (17 CFR 230.192) bars an underwriter, placement agent, initial purchaser, sponsor of an asset-backed security - or certain affiliates or subsidiaries - from transactions that could create material conflicts of interest with investors, except where a participant establishes, implements, maintains, and enforces an internal compliance program with written policies and procedures. The required information is mandatory and not publicly disclosed.

The Commission estimates approximately 1,277 annual responses to the Rule 192 collection. Each response is projected to require 24.75 burden hours, for a total annual reporting burden of 31,606 hours. The estimated cost per response is $4,950, yielding an annual cost burden of $6,321,150.

Written comments are invited on the necessity, utility, accuracy of the burden estimate, and ways to improve or reduce the burden, including the use of automated techniques. Comments must be submitted to Austin Gerig, Director/Chief Data Officer, c/o Tanya Ruttenberg, via the protected email address by November 16, 2026.
