IRS Extends Information Collection on Stock Transfers to Foreign Corporations
Business entities must comment by Dec 28 2026 on the collection tied to 26 CFR 1.367(a)-3(c).

The Internal Revenue Service issued a notice (FR Doc 2026-21921) extending the information collection identified by OMB Control No. 1545-1478 and Regulation T.D. 8702. The extension does not change the previously approved collection.
The collection concerns certain transfers of stock or securities of domestic corporations to foreign corporations under the corporate organization, reorganization, or liquidation provisions of the Internal Revenue Code. Section 367(a) generally requires recognition of gain, but an exception under 26 CFR 1.367(a)-3(c) applies if the U.S. target company meets reporting requirements and other conditions.
Comments must be received on or before Dec 28 2026. Written comments should be directed to Andres Garcia, IRS, Room 6526, 1111 Constitution Avenue NW, Washington, DC 20224, or emailed with "OMB Control No. 1545-1478" in the subject line. For additional information, contact Kerry Dennis at (202) 317-5751.
The agency estimates 100 respondents, each spending about 10 minutes, for a total annual burden of 1,000 hours. The notice invites comment on the necessity, accuracy of burden estimates, and ways to improve or reduce the collection burden.
All comments become part of the public record; commenters are advised not to include confidential or sensitive personal information.
