NYSE proposes to raise gift limit to $300 and adopt FINRA-style provisions
The rule change, effective upon filing on Oct. 9, 2026, binds NYSE members, member organizations and their associated persons

On Oct. 9, 2026 the New York Stock Exchange LLC filed a proposed rule change with the Securities and Exchange Commission that is immediately effective. The filing seeks to harmonize NYSE Rule 3220, which governs influencing or rewarding employees of others, with recent amendments to FINRA Rule 3220, including an increase of the annual gift limit from $100 to $300.
To achieve parity, the Exchange proposes to adopt Supplementary Material .01 through .09 to NYSE Rule 3220. These materials would codify FINRA's rules on gifts incidental to business entertainment, valuation of gifts, aggregation of gifts, personal gifts, bereavement gifts, de minimis and promotional items, disaster-related donations, supervision and recordkeeping, and gifts to a member's associated persons or individual retail customers.
The change is framed under the 17d-2 Agreement, which allocates regulatory responsibility for common members - broker-dealers that belong to both the Exchange and FINRA - to FINRA. By certifying NYSE Rule 3220 as identical or substantially similar to FINRA Rule 3220, the Exchange aims to reduce duplicative regulation for members that belong to both self-regulatory organizations.
The notice appears in the Federal Register, Vol. 91, No. 203, pages 66748-66752, and is identified as Release No. 34-106691, File No. SR-NYSE-2026-51. The Commission is soliciting comments from interested persons on the proposed amendment.
If adopted, the amended Rule 3220 would prohibit gifts exceeding $300 per individual per year and would require members and member organizations to follow the new supplementary provisions for recordkeeping, valuation, and aggregation of gifts.
