The Securities and Exchange Commission issued a notice on October 21, 2026 (FR Doc No. 2026-21495) announcing an extension of the proposed collection of information for Form N-2, OMB Control No. 3235-0026. Comments on the extension must be submitted by November 23, 2026.

Form N-2 is the registration statement used by registered closed-end management investment companies and business development companies (BDCs) when making initial or additional securities offerings under the Investment Company Act of 1940 and the Securities Act of 1933. The form also supports the prospectus and Statement of Additional Information disclosures required for investor evaluation.

The SEC estimates that approximately 427 respondents file Form N-2 each year, with one response per respondent. Each response entails an average of 344 hours of effort, resulting in a total annual time burden of 146,888 hours. The agency projects an external cost burden of $9,914,940, based on 30 hours of outside attorney services at $774 per hour, or $23,220 per response.

Comments may be submitted online at https://www.reginfo.gov/public/do/PRAViewICR?ref_nbr=202608-3235-004 or via email to the protected address provided in the notice. The SEC will consider all comments before finalizing the OMB review of the Form N-2 collection.
