Cboe EDGA deletes information circular requirement for UTP derivatives
The change, effective Oct. 9 2026, removes the Exchange's circular distribution duty for members trading UTP derivative securities.

On October 21, 2026, the Securities and Exchange Commission published a notice (FR Doc No. 2026-21736, Volume 91, No. 205, pages 67370-67373) that Cboe EDGA Exchange, Inc. filed a proposed rule change on October 9, 2026. The filing, identified as Release No. 34-106716 and File No. SR-CboeEDGA-2026-034, is immediately effective under Section 19(b)(1) of the Securities Exchange Act of 1934 and Rule 19b-4.
The amendment revises Rule 14.1(a) to add explicit cross-references to Rules 3.7 and 3.21, deletes Rule 14.1(c)(1) in its entirety, and modifies Rule 14.1(c)(2)(B) so that the required written description must be provided in a form approved by the listing exchange or prepared by the issuing open-ended management company. It also renumbers the existing Rules 14.1(c)(2) through (5) as Rules 14.1(c)(1) through (4) and updates the cross-reference in Interpretations and Policies .01.
The Exchange states the purpose is to eliminate a duplicative information circular that mirrors the circular issued by the primary listing exchange. Because members already have access to the primary exchange's circular, the Exchange argues the separate circular serves no independent investor-protection function, and existing obligations under Rules 3.7 and 3.21 continue to apply.
Statutorily, the Exchange relies on the Act's Section 6(b) requirements, specifically the Section 6(b)(5) provisions that exchange rules must prevent fraud, promote equitable trade, and avoid unfair discrimination. The filing cites the same statutory basis used in a prior Cboe BZX amendment (Release No. 105715, June 17, 2026).
The Commission's notice invites comments from interested persons, with submission instructions available on the SEC's website and the Exchange's rule-filings page.
