IRS seeks comments on burden of corporate stock repurchase excise tax filing
Business, individuals, nonprofits, farms and governments may comment by Dec. 7, 2026 on the Form 7208 reporting requirement.

The Internal Revenue Service issued a notice of information collection and request for comments on the excise tax on repurchase of corporate stock, identified by OMB Number 1545-2323 and Form 7208. The notice, dated October 6, 2026, invites written comments to be received on or before December 7, 2026.
Form 7208 is used by certain covered corporations to compute and report the excise tax imposed under Internal Revenue Code section 4501. The information collected enables the IRS to determine the correct tax amount and verify compliance with the reporting and recordkeeping requirements for the stock repurchase excise tax.
The IRS estimates 3,750 respondents will complete the form, with an estimated time of 6 hours, 30 minutes per respondent, resulting in an estimated total annual burden of 24,375 hours. No changes to the form are being made at this time; the action is an extension of a currently approved collection.
