SEC issues notice on RTW Biotech Growth Fund exemption request
The SEC will issue an order unless a hearing is requested by 5:30 p.m. ET on Nov. 2, 2026, affecting RTW Biotech Growth Fund's share-class and fee structure.

On October 8, 2026, the Securities and Exchange Commission published a notice (Investment Company Act Release No. 36357; File No. 812-16081) of an application filed on August 28, 2026 by RTW Biotech Growth Fund and RTW Investments, LP.
The applicants seek an order under section 6(c) of the Investment Company Act of 1940 to exempt certain registered closed-end investment companies from sections 18(a)(2), 18(c) and 18(i), and from rule 23c-3, and to obtain relief under section 17(d) and rule 17d-1. The requested relief would permit the funds to issue multiple classes of shares, impose early-withdrawal charges, and assess asset-based distribution or service fees.
The Commission states that an order granting the relief will be issued unless a hearing is ordered. Interested persons may request a hearing by emailing the SEC's Secretary and serving the applicants, with the request and proof of service filed by 5:30 p.m., Eastern Time on November 2, 2026.
Requests for hearing notification must be sent to the SEC's Secretary, and any party wishing to be notified of a hearing may also email the Secretary. The notice lists contact persons for the applicants: Darshan Patel (RTW Biotech Growth Fund) and counsel Pamela Poland Chen, Esq., and Jessica L. Patrick, Esq.
The application and supporting materials are available on the SEC's website and through the EDGAR system using the file number above. The notice was filed in the Federal Register on October 13, 2026 (FR Doc 2026-20936) at 8:45 a.m.
