SEC seeks comment on extending Rule 163 information collection

The Securities and Exchange Commission announced that it will submit the existing Rule 163 information collection to the Office of Management and Budget for extension and approval, as required by the Paperwork Reduction Act of 1995. The notice cites OMB Control No. 3235-0619 and FR Doc No. 2026-17224.
Rule 163 (17 CFR 230.163) provides an exemption from Section 5(c) of the Securities Act of 1933 for certain communications by, or on behalf of, a well-known seasoned issuer before a registration statement is filed. The Commission estimates that roughly 12 respondents file one Rule 163 response per year, incurring about 0.083 hours per response for a total annual reporting burden of 1 hour and a cost of $72.50 per response, or $870 annually.
Written comments are invited for a 60-day period. Comments should address the necessity, burden accuracy, quality, and potential burden-reduction measures for the collection. Submissions must be directed to Austin Gerig, Director/Chief Data Officer, SEC, c/o Tanya Ruttenberg, via the provided email address by October 23, 2026.
The notice reiterates that an agency may not conduct or sponsor a collection of information without a currently valid OMB control number, and that respondents are not required to respond to collections lacking such approval.
