Nasdaq amends Rule 4120 on trading halts, effective Aug 10, 2026
The amendment applies to Nasdaq-listed securities and becomes operative for members and issuers on Aug. 10, 2026.

On August 3, 2026, The Nasdaq Stock Market LLC filed a proposed rule change with the SEC under Release No. 34-106139 and File No. SR-NASDAQ-2026-064. The filing amends Equity 4, Rule 4120 and is effective upon filing, with the amendments designated operative on August 10, 2026.
The Exchange states the amendment updates the previously approved but not yet operative Rule 4120 framework to reflect intervening changes incorporated into Nasdaq's current operative Rule 4120. The proposal does not introduce substantive changes to the text approved in SR-NASDAQ-2022-017, but aligns the dormant framework with the rule language presently in force.
Amendments include revisions to the definitions and trading-session terminology, incorporation of night-session halt provisions and corporate-action related halts, updates to Limit Up-Limit Down and order-handling rules, and revisions to the reopening procedures for non-IPO regulatory halts. Each change is described as a conforming update to ensure consistency across Nasdaq rules.
