OCC requests comment on renewal of securities offering disclosure rules
The Office of the Comptroller of the Currency invites comment by July 13 2026 on its renewal of the securities offering disclosure rules, which apply to national banks and Federal savings associations.

The Office of the Comptroller of the Currency published a notice in the Federal Register (Vol. 91, No. 93, May 14, 2026) announcing the renewal of its information collection titled "Securities Offering Disclosure Rules." The collection carries OMB Control No. 1557-0120 and is classified as a regular review. Comments must be submitted by July 13, 2026.
The collection is directed at businesses or other for-profit entities, specifically national banks and Federal savings associations that offer or sell securities. Under 12 CFR part 16, these institutions must file prospectuses and registration statements that are generally consistent with comparable SEC disclosure requirements.
The notice enumerates the principal collections of information required by part 16, including the standard Form for Registration, an abbreviated form for nonconvertible debt offered to accredited investors, small-issues registrations under SEC Regulation A, nonpublic offerings complying with SEC Regulation D, and electronic filing procedures via the OCC's Law Department website.
The agency estimates the burden of the collection as follows: Estimated Frequency of Response - on occasion; Estimated Number of Respondents - 16; Estimated Total Annual Responses - 90. The notice includes a statement of the estimated total annual burden, though the specific hour figure is not reproduced here.
Comments may be submitted by email, mail, hand delivery, or fax, and must reference the agency name "OCC" and OMB control number "1557-0120." For further information, contact Shaquita Merritt, Clearance Officer, at (202) 649-5490.
