OCC seeks comment on renewal of securities offering disclosure collection

The Office of the Comptroller of the Currency published a notice (FR Doc No. 2026-14973) announcing the renewal of its information collection titled "Securities Offering Disclosure Rules." The collection carries OMB Control No. 1557-0120 and is subject to the Paperwork Reduction Act.

The collection applies to businesses or other for-profit entities, specifically national banks and Federal savings associations that offer or sell securities under 12 CFR part 16. It requires filing of registration statements, prospectuses, and related documents that must be consistent with SEC disclosure requirements, including full registration forms, abbreviated forms for accredited investors, small-issue registrations, and private placements.

The OCC estimates the burden of the collection at 16 respondents, 90 total annual responses, and 900 hours of respondent effort. A prior 60-day notice published on May 14, 2026 (91 FR 27485) received no comments. The agency invites comments through Aug. 24, 2026 via email, mail, hand delivery, fax, or electronically at www.reginfo.gov using the control number 1557-0120.
