SEC grants accelerated approval of NYSE American rule amendment
The amendment, which raises the minimum trading price to $0.25 and pushes the effective date to July 1, 2027, binds securities listed on NYSE American.

On August 14, 2026, the Securities and Exchange Commission issued a notice and order, identified as Release No. 34-106134 and File No. SR-NYSEAMER-2025-72, to solicit comments and to grant accelerated approval of Amendment No. 4 to NYSE American's proposed rule change.
Amendment No. 4, filed July 15, 2026, extends the effective date of the rule change from October 1, 2026 to July 1, 2027 and otherwise does not substantively alter the proposal as set forth in Amendment No. 3.
The amendment modifies Section 1003(f)(v) of the NYSE American Company Guide to establish a "Minimum Trading Price" of $0.25. If a security's closing price falls below that level on any trading day, the Exchange will immediately suspend trading and commence delisting proceedings under Section 1009. The amendment also clarifies that issuers subject to delisting under Sections 1003(f)(vi) or 1003(f)(vii) are not eligible to follow the procedures in Section 1009.
Issuers retain the right to appeal any delisting decision pursuant to Part 12 of the Company Guide, and existing prohibitions on reverse stock splits with cumulative ratios of 200-to-1 or greater remain unchanged.
All comment letters received on the proposed rule change are available on the SEC website at https://www.sec.gov/rules-regulations/public-comments/sr-nyseamer-2025-72.
