SEC seeks comments on extended Form N-2 information collection
Closed-end funds and business development companies filing Form N-2 must comment by Oct. 16, 2026 on the SEC's proposed extension of the collection.

The Securities and Exchange Commission published a 60-day notice, OMB Control No. 3235-0026, soliciting comments on a proposed extension of the Form N-2 information collection under the Paperwork Reduction Act.
Form N-2, required by 17 CFR 239.14 and 274.11a-1, is used by registered closed-end funds and business development companies to register securities under the Investment Company Act of 1940 and the Securities Act of 1933. The filing provides a prospectus for initial or additional offerings and supports the public availability of disclosure information.
The SEC estimates that 427 respondents will file Form N-2 annually, each spending 344 hours per response, for a total annual time burden of 146,888 hours. The agency projects an external cost burden of $9,914,940, based on 30 hours of outside services at $774 per hour, or $23,220 per response.
Written comments must be submitted to Austin Gerig, Director/Chief Data Officer, SEC, c/o Tanya Ruttenberg via the provided email address by October 16, 2026. The notice invites feedback on the necessity, burden estimates, and potential improvements, including electronic collection methods.
Responses to the disclosure requirements are not confidential, and compliance with Form N-2 filing obligations remains mandatory for the affected funds.
